Creator Terms of Service

These Terms govern your use of the mobile app and web portal for the Sprout Creator Program (together, the “Creator Services”). The Creator Services are provided by Magnifex AI, Inc. (“Magnifex,” “we,” “us”).

By creating an account or using the Creator Services, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Creator Services.

1. Your creator agreement comes first

Your pay, what content you must make, who owns that content, and the rest of your relationship with us are set by the creator agreement you sign in the app (your “Creator Agreement”). If these Terms conflict with your Creator Agreement, your Creator Agreement controls.

Creating an account doesn’t make you a member of the program. We decide who joins, and your account stays pending until we approve it.

2. Eligibility

To use the Creator Services, you must:

  • be at least 16. If you’re under 18, a parent or guardian must agree to your Creator Agreement.
  • be able to enter into a binding contract
  • be allowed to receive payments where you live

3. Your account

  • Keep your information accurate and up to date, including your contact and payout details.
  • Keep your password private. You’re responsible for all activity on your account.
  • One person, one account. Don’t share your account or create more than one.

4. Connected social accounts

When you connect a TikTok, Instagram, YouTube or Facebook account, you let us and our partner InsightIQ (formerly Phyllo) read that account’s profile, posts, stats, comments and audience data. We use this data to track your program videos and pay you for them.

You must own every account you connect, or be authorized to manage it. You can unlink an account at any time, but we can’t track or pay for videos posted from an account you’ve unlinked. Each platform’s own terms still apply to how you use it.

5. Payments

  • We calculate what you’re owed from the rules in your Creator Agreement and the program’s payout rules. The app shows what each payment covers.
  • We pay you through Wise or SideShift, to the payout account you set up. You’re responsible for keeping those details correct.
  • Once a payment is sent, it’s final. If you think a payment is wrong, use Dispute in the app and we’ll review it.
  • You’re responsible for your own taxes.
  • The Creator Services are free. Nothing is sold in the app.

6. Rules you must follow

Don’t:

  • inflate views or engagement artificially, for example with bots, paid engagement, engagement pods or view farms
  • claim or dispute payment for content you didn’t create or aren’t allowed to post
  • misrepresent a video, its performance or who you are
  • post content that is illegal, deceptive, hateful or sexually explicit, or that infringes someone else’s rights
  • break the rules of the platforms you post on, including their rules on disclosing paid partnerships
  • copy, resell or share scripts, courses or other program materials outside the program
  • reverse engineer, scrape or disrupt the Creator Services, or try to access other creators’ data

If you break these rules, we may withhold payment for the affected videos and suspend or close your account. We also keep our rights under your Creator Agreement.

7. Content you upload

You keep ownership of what you upload through the app, such as drafts, Video Check submissions and dispute evidence, unless your Creator Agreement says otherwise. You give us a license to store, process and analyze that content, including with AI services, so we can run the program. Your Creator Agreement covers the rights to videos you publish for the program.

8. Our property

We own the Creator Services, including the software, design, scripts, courses and brand assets. While you’re in the program, we give you a limited, personal, non-transferable license to use them. Don’t copy, modify or distribute any part of them, or try to extract their source code.

9. Third-party services

The Creator Services rely on third parties, including InsightIQ, Wise, SideShift, Google, Apple and Expo. We’re not responsible for their services, and their own terms may apply to you.

10. Updates and availability

We may change, suspend or discontinue any part of the Creator Services at any time. Some features need an internet connection, and your carrier may charge for data. Older versions of the app may stop working, so install updates when they’re available.

11. Ending your account

You can stop using the Creator Services at any time, and you can delete your account in the app under Settings. Once it’s deleted, you can’t sign in again. We keep your records as described in our Privacy Policy.

We may suspend or close your account if:

  • you break these Terms or your Creator Agreement
  • your application isn’t approved
  • the program ends

Closing your account doesn’t cancel payments you’ve already earned under your Creator Agreement.

12. Disclaimers

The Creator Services are provided “as is” and “as available.” View counts and stats come from the platforms and our data partners, so they may be delayed, revised or incomplete. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the extent the law allows, Magnifex isn’t liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill.

Our total liability for any claim about the Creator Services is limited to the greater of:

  • the amounts we paid you in the 3 months before the claim, or
  • $100.

Nothing here limits our obligation to pay what you’ve earned under your Creator Agreement.

14. Indemnity

You agree to defend and indemnify Magnifex against claims that arise from:

  • content you create or post
  • your breach of these Terms
  • your violation of anyone else’s rights

15. Governing law

Delaware law governs these Terms, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless your Creator Agreement says otherwise.

16. Changes to these Terms

When we change these Terms, we’ll update the date at the top. For significant changes, we’ll also tell you in the app or by email. If you keep using the Creator Services after a change, you accept the updated Terms.

17. Apple

If you downloaded the app from the Apple App Store:

  • These Terms are between you and Magnifex, not Apple. Apple isn’t responsible for the app and has no obligation to maintain or support it.
  • If the app fails to meet an applicable warranty, you may notify Apple. To the extent the law allows, Apple has no other warranty obligation.
  • Apple isn’t responsible for handling any claim about the app, including product liability, legal compliance and intellectual property claims.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  • You confirm you’re not located in a country under a U.S. Government embargo, and you’re not on any U.S. Government list of prohibited or restricted parties.
